Purpose of the Site:

This page describes the terms and conditions of the User’s access to the Unison Edge Plus website and portal ("Site"). This page opens in a secondary browser window via a footer navigation link and may not be altered or removed. The Site has been prepared solely for the purpose of collecting, providing and exchanging documentation, data and information between the permitted users ("Users"/ “You”) and UNISON Insurance Broking Services Private Limited ("UNISON ") in relation to the employee health and benefits program and services and/or flexible benefit administration services ("Services") provided by UNISON through this Site. In addition you may also appoint UNISON as your Insurance Broker under the terms of the attached Customer Information Sheet and Terms of Business if you elect to do so.

Use of Information, Intellectual Property Rights:

• UNISON has all rights and interests in, and copyright to all text and graphic images in this Site (unless the text and graphic images form part of the intellectual property or any other material which has not been prepared by UNISON). The information contained in this Site is not intended for re-publication or distribution. You may not distribute the text, graphics or other information obtained while using this Site to others, "mirror" or include the information on your own server, or modify or re-use the text or graphics without the express written permission of UNISON. You may view, copy, print or download your information contained in this Site for your own personal use only. UNISON reserves all other rights to this Site, its content and all rights subsisting in them.
• Intellectual property rights in certain materials on or processes used in constructing or accessing this Site may be the property of third parties. If you seek to reproduce or otherwise use any such material or process in any manner which would involve the exercise of the rights of the intellectual property owner, it is your responsibility to seek permission for that reproduction or other use from the relevant third party or parties.
• You may not download, reproduce, transfer, publish, alter or use any logos, symbols or trademarks belonging to UNISON and displayed at this Site for any purpose. All other logos, service marks, trademarks, registered service marks, or registered trademarks mentioned on this Site belong to their respective owners.
• UNISON retains all copyright and other intellectual property rights in the methodologies, methods of analysis, ideas, concepts, know-how, models, tools, techniques, skills, knowledge and experience, and any graphic or digitized representations of any of these, possessed by UNISON and reflected at any time on this Site.
• You shall be liable for any damages resulting from any infringement of copyright, trademark or other proprietary right, or any other harm resulting from your wrongful use of this Site.
• By providing documentation, data and information through the Site or using the Site, you consent to UNISON collecting, gathering, processing, exchanging and using such documentation, data and information received from you or collected through your use of the Site on the terms of the Client Personal Information Collection Statement set out below.

Site availability & Security:

• UNISON will make reasonable efforts to ensure the availability and security of this Site, and the integrity of the data accessed by you through this Site. Due to the nature of the Internet, UNISON cannot guarantee that this Site will be completely free from viruses, hacking attacks, security intrusions or that access to this Site will be completely uninterrupted; or the security of transmissions over the Internet or for possibility of interception or interruption of any communications through the Internet, or for changes to or losses of data through the Internet.
• UNISON may suspend your use of the Services or access to this Site via the Internet with reasonable cause (which may include, without limitation, any breach of the terms and conditions as set out in this Site); provided that, to the extent commercially reasonable, advance written notice will be given to your employer company. In the event that immediate suspension is required for any reason, UNISON may (but is not obliged to) give a written explanation to your employer company providing the cause for such immediate suspension.
• You must ensure that you do not insert (or procure any person to insert) any virus or code which would have the effect of disrupting, impairing, disabling or otherwise adversely affecting or shutting down or compromising the security or integrity of data, this Site or the Services or denying UNISON access to all or any portion of this Site.

Access Credentials:

UNISON has provided you with a confidential password and a login account (LOGIN-ID) that will permit access to this Site. Only Users who have proper authentication are permitted to access the documentation, data and information contained in this Site. You acknowledge that access to any information relating to you will be provided through this Site to any person using your access credentials. You must therefore do everything necessary to protect your access credentials from disclosure to any other person. You will be responsible for all acts of unauthorised use of your access credentials. Any action or request made by the user of your access credentials will be deemed to have been made by you and the request may be carried out by UNISON without further enquiry.

Unauthorised Access:

If, at any time, you learn or suspect that (i) your access credentials have been disclosed or otherwise made known to any person other than yourself or (ii) there has been unauthorized access to your account, you agree to immediately notify UNISON and your employer company and to confirm such notice in writing within seventy-two (72) hours. Upon receiving such notice, UNISON and your employer company will respectively verify your identity and assign new access credentials to you within a reasonable period of time. Re-issuance and reactivation of access credentials is subject to UNISON 's and your employer company's security and validation procedures. You will not receive new access credentials if you have violated, or allowed others to violate, UNISON 's and your employer company's security or validation procedures.

Our linking to another web site does not mean that we endorse or accept any responsibility for that web site's content or use, or that we are affiliated in any way with that web site's owner. UNISON excludes all liability arising in connection with the use of any information on a linked web site, You may not create any link to this Site without UNISON’s written consent.

Reliance on Information & No liability for damages, errors or omissions:

• UNISON has made reasonable efforts to ensure that the materials of which UNISON is the author ("UNISON Materials"), contained on this Site, are accurate at the time of inclusion.
• UNISON shall use all information and data supplied by you or on your behalf without having independently verified the accuracy or completeness of it.

UNISON does not warrant that the functions contained in this Site will be uninterrupted or error-free, that defects will be corrected or that this Site or the server that makes it available are free of viruses or other harmful components. UNISON assumes no responsibility for the effectiveness of any encrypted data, nor will UNISON guarantee that an encryption algorithm will be indecipherable. UNISON makes no claims or warranties regarding the viability, integrity or invincibility of the encryption used, nor will UNISON accept responsibility for the success or failure of the secure server to properly encrypt data.
• UNISON excludes all liability for any loss or liability resulting, directly or indirectly, or arising in connection with (i) any unauthorized use of the Site (except to the extent such unauthorized use is by a staff of UNISON) or (ii) unauthorized use of access credentials by any person (other than a staff of UNISON or instances where the unauthorized disclosure was caused by UNISON).

Delays in Services:

UNISON shall not be liable for any loss or liability resulting, directly or indirectly, from delays or interruptions due to electronic or mechanical equipment failures, date data processing failures, telephone interconnect problems, utility failures or problems, defects, weather, strikes, walkouts, fire, acts of God, riots, armed conflicts, acts of war, or to other like causes beyond the reasonable control of UNISON. UNISON shall have no responsibility to provide access to the Service while the interruption of this Site and/or the Service due to any such cause shall continue.

Change of Terms:

UNISON reserves the right to change the terms and conditions of this Agreement and the specifications or terms in relation to, attributes of, functionality of and information provided on and/or through this Site for the purposes of dealing with evolving technology, application security threats, evolving features offerings, internal streamlining and generally improving the quality of the Services to its clients. Accordingly, please continue to review the Agreement whenever accessing or using this Site. Your use of this Site, or any service on the Site, after the posting of modifications to the Agreement will constitute your acceptance of the Agreement, as modified.

Termination:

Termination or cancellation of this Agreement shall not affect any right or relief to which UNISON may be entitled, at law or in equity. Upon termination of this Agreement, all rights granted to you will terminate. This Agreement shall remain in full force and effect unless terminated or cancelled for any of the following reasons: 1) immediately by UNISON for any unauthorized access or use by you except as expressly provided in this Agreement; 2) immediately by UNISON if you assign or transfer (or attempt the same) any rights granted to you under this Agreement; or 3) immediately, if you violate any of the other terms and conditions of this Agreement.

Compliance with Laws:

The User of ‘The Site’ shall comply with all the applicable laws including without limitation to Information and Technology Act, 2000 as amended by the Information Technology (Amendment) Act 2008.

Licence:

User acquires no rights or licenses in or to the Services and materials contained therein other than the limited right to utilize the Services in accordance with the Agreement.

Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of the India Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts in India.

Severability:

If any provision of this Agreement is found to be unlawful or unenforceable in any respect, the court shall reform such provision so as to render it enforceable (or, if it is not possible to reform such provision so as to make it enforceable, then delete such provision). As so reformed or modified, the court shall fully enforce this Agreement.

Entire Agreement:

This Agreement constitutes the entire agreement between the parties, and no other agreement, written or oral, exists between you and UNISON as to your use of this Site. This Agreement is between you and UNISON.

Access Outside India:

If you choose to access the Service from outside India, you are responsible for compliance with foreign and local laws.

Wellness Disclaimers:

• You understand that ‘Unison Edge Plus’ is a platform that Users utilize to locate Doctor/registered medical practitioners and make appointments for consult. Even though we take all the necessary steps to verify the authenticity of the Doctor/registered medical practitioners, You understand and agree that we shall not be liable for any deficiencies including but not limited to misconduct, injury caused or lack of knowledge from the end of the Doctor/registered medical practitioners. We are not a party to such interaction and take no liability that arises from any such acts of the Doctor/registered medical practitioners.
• Healthcare Services: All the Treating Providers who deliver Services through ‘The Site’ are independent professionals solely responsible for the services each provides to you.
• Informed Consent: The Tele Health Services you receive from Treating Providers are not intended to replace a primary care physician relationship or be your permanent medical home. You should seek emergency help or follow-up care when recommended by a Treating Provider or when otherwise needed and continue to consult with your primary care physician and other healthcare professionals as recommended. You will have direct access to customer support services to follow up on medication reactions, side effects or other adverse events. Among the benefits of our Services are improved access to healthcare professionals and convenience. However, as with any health service, there are potential risks associated with the use of Tele Health. These risks include, but may not be limited to:
• In rare cases, information transmitted may not be sufficient (e.g. poor resolution of images) to allow for appropriate health care decision making by the Treating Provider;
• Delays in evaluation or treatment could occur due to failures of the electronic equipment.
• In rare cases, a lack of access to all your health records may result in adverse drug interactions or allergic reactions or other judgment errors.
• Although the electronic systems we use will incorporate network and software security protocols to protect the privacy and security of health information, in rare instances, security protocols could fail, causing a breach of privacy of personal health information.

By accepting these Terms of Use, you acknowledge that you understand and agree with the following:

• You understand that you may expect the anticipated benefits from the use of Tele Health in your care, but that no results can be guaranteed or assured. You understand that the laws that protect the privacy and security of health information apply to Tele Health, and have received UNISON Notice of Privacy Practices, which describes these protections in more detail. Electronic communications are directed to your Treating Provider(s) and their supervisees through a secure, encrypted electronic health record.
• Your Treating Provider may determine that the Services are not appropriate for some or all of your treatment needs, and accordingly may elect not to provide Tele Health services to you through the Site.
• If you are experiencing a medical emergency, you should call the emergency ambulance number or go to the nearest emergency room.
• All communication between the Doctor/registered medical practitioners and you, is a separate transaction which includes without any limitation all warranties related to consult and after consult services related to consult. We do not have any control over such information and play no determinative role in the finalization of the same and hence do not stand liable for the outcomes of such communication. We do not endorse any specific Doctor/registered medical practitioners on ‘The Site’ nor place any guarantee as to its quality and value. Any such recommendations that are done are done by other users and UNISON does not verify or acknowledge the same.
• Further we may suggest apt treatments or services in accordance with your information within our knowledge, but we do not guarantee any effectiveness or success upon using these services. Subject to the above sub-clauses, a contract exists between the Doctor/registered medical practitioners and You and as such any breach of contract and thus, any claim arising from such breach is the subject matter of the Doctor/registered medical practitioners and you alone and we are in no way a party to such breach or involved in any suit claim/negligence/damages etc arising from the same breach.
• We are in no way liable for any deficiency of services if any arises including but not limited to cancellation of order due to any unavailability of the Doctor/registered medical practitioners. We are not liable for the general conduct of the Doctor/registered medical practitioners, and we shall not be liable for any unwarranted act performed by the Doctor/registered medical practitioners. You are advised to ensure your safety and the safety of your belongings.
• The content on ‘The Site’ is general in nature and summarized and is provided for informational purposes only. The content of ‘The Site’, including without limitation, text, copy, audio, video, photographs, illustrations, graphics and other visuals, is for informational purposes only and does not constitute professional advice, or recommendations of any kind.
• We do not assure any liability for the contents of any material provided on ‘The Site’. Reliance on any information provided by us, other visitors to ‘The Site’ is solely at your own risk. We assume no liability or responsibility for damage or injury to persons or property arising from any use of any product, information, idea, or instruction contained in the materials provided to you. Further the platform/company shall not be held liable neither by the Doctor/registered medical practitioners nor the patients/users for any technical mishap of whatever kind.
• The Platform is only an intermediary and cannot be held liable for any dispute/claim/damages etc that arise between the Doctors/registered medical practitioners and the Patients/users for whatsoever reason it may be. Both hereby indemnify the company for any such claims.
